Terms of Service

1. Ownership
AI-gency, including its software, applications, source code, user interface, architecture, workflows, graphics, databases, branding, and associated intellectual property, remains the exclusive property of AI-gency. No ownership rights are transferred through any subscription or license.
2. License to Use
Subscribers, White Labels, and Resellers are granted a limited, non-exclusive, non-transferable, and revocable license to use AI-gency while their account remains active and in good standing. The license grants permission to use the platform only and does not constitute ownership.
3. Restrictions on Distribution and Use
AI-gency, any AI-gency-powered platform, and any White Label implementation of AI-gency are licensed products and remain the exclusive property of AI-gency.
- AI-gency or any AI-gency-powered or White Label implementation may not be distributed, shared, or provided free of charge.
- AI-gency or any AI-gency-powered or White Label implementation may not be sold, sublicensed, leased, rented, or transferred except through an authorized AI-gency licensing program.
- AI-gency or any AI-gency-powered or White Label implementation may not be bundled into, incorporated into, embedded within, or offered as part of another platform, website, membership, software product, or service without prior written permission from AI-gency.
- AI-gency or any AI-gency-powered or White Label implementation may not be copied, cloned, reverse engineered, modified for redistribution, or used to create competing derivative works.
- No person or entity may represent AI-gency or any AI-gency-powered or White Label implementation as their own intellectual property.
- No user may circumvent or attempt to circumvent AI-gency licensing, subscription requirements, usage limitations, pricing structure, or business model.
The purchase of a Subscriber, White Label, or Reseller account grants only a limited license to use AI-gency. It does not grant the right to redistribute the platform, provide it free of charge, incorporate it into another platform or service, or transfer any ownership or intellectual property rights.
4. White Label & Reseller Accounts
White Label and Reseller accounts are licensing arrangements only and do not transfer ownership of AI-gency or any associated intellectual property.
- Branding a platform under another business name, logo, or domain does not create a separate software product.
- Changing the public branding or domain name does not transfer ownership of the underlying software or intellectual property.
- Any White Label implementation shall be considered an AI-gency-powered platform and remains subject to these Terms of Service.
- A White Label implementation may not be distributed free of charge without the prior written consent of AI-gency.
- A White Label implementation may not be incorporated into another platform or used to circumvent the AI-gency licensing or subscription model.
5. Subscriber Capacity & Platform Expansion
AI-gency is designed to support unlimited subscriber growth while maintaining fair use of platform resources and infrastructure.
- The base AI-gency subscription includes support for up to one hundred (100) active subscribers.
- Additional subscriber capacity requires the purchase and maintenance of the applicable AI-gency Expansion Subscription(s).
- Each Expansion Subscription authorizes an additional block of one hundred (100) subscribers.
- Expansion Subscriptions are recurring monthly subscriptions and are cumulative. Each subscriber block requires its own active Expansion Subscription.
- Expansion Subscriptions are separate purchases from the primary AI-gency subscription and are billed independently.
- Continued use of subscriber capacity beyond the included allowance constitutes acceptance of the applicable Expansion Subscription requirements and pricing.
- Attempts to circumvent subscriber capacity requirements, Expansion Subscriptions, licensing limitations, or the AI-gency business model constitute a violation of these Terms of Service.
Current Expansion Subscription Pricing
The following Expansion Subscriptions are available for additional subscriber capacity. Each block is a separate recurring monthly subscription and is not inclusive of previous expansion levels.

Example: An account with 450 active subscribers would require Expansion Blocks 1, 2, 3, and 4 to remain active, in addition to the primary AI-gency subscription.
If an account's active subscriber count falls below the capacity authorized by one or more Expansion Subscriptions, the account owner may request cancellation of the no-longer-required Expansion Subscription(s) by contacting AI-gency Support. Expansion Subscription cancellations will be processed in accordance with the account's verified active subscriber count and will take effect at the end of the current billing period.
6. AI Services
AI-generated content is produced through third-party AI providers. Users are solely responsible for reviewing and verifying all generated content before relying upon or distributing it.
7. Bandwidth Usage & Fair Use
AI-gency reserves the right to monitor, regulate, limit, suspend, or restrict bandwidth and other platform resources to protect the integrity, stability, performance, and economic viability of the platform.
- AI-gency is intended to operate as an AI-powered software platform and not as a general-purpose file hosting or media streaming service.
- Users may not utilize AI-gency or any AI-gency-powered or White Label implementation in a manner that creates excessive or unreasonable bandwidth consumption.
- Activities intended to distribute large-scale media libraries, streaming services, download repositories, or other bandwidth-intensive content may be limited or prohibited at AI-gency's sole discretion.
- AI-gency reserves the right to require additional subscriptions, impose reasonable usage limitations, or suspend services when bandwidth usage materially exceeds normal platform operation.
- Attempts to circumvent bandwidth limitations or fair use policies constitute a violation of these Terms of Service.
8. Billing Disputes & Chargebacks
AI-gency is committed to resolving billing concerns promptly and fairly. Users agree to contact AI-gency Support regarding any billing question or dispute before initiating a chargeback, payment dispute, or claim through Stripe, their credit card issuer, bank, or other payment provider.
9. Account Termination
Violation of these Terms, including unauthorized chargebacks or payment disputes, may result in immediate suspension or termination of access. Upon termination, all licenses granted under this Agreement immediately cease.
10. No Transfer of Ownership
Payment of subscription fees, licensing fees, White Label fees, or Reseller fees grants only the right to use AI-gency. It does not transfer ownership of any software or intellectual property.
11. Platform Modifications
AI-gency reserves the right to modify, improve, suspend, discontinue, or replace any feature, application, pricing structure, or licensing model at its sole discretion.
12. Limitation of Liability
AI-gency is provided "as is" without warranties of any kind. Users assume full responsibility for their use of the platform and any AI-generated content.
By accessing or using AI-gency, you acknowledge that you have read, understood, and agree to these Terms of Service and License Agreement. If you do not agree, you must discontinue use of the platform.
